Tiffany is a trusted legal advisor who is driven by helping transform her clients’ ideas into reality. With over 20 years of experience, her practice focuses on corporate law. Her experience enables her to conceive and develop commercial transactions with tax structures that are both commercially viable and efficient. Her broad experience includes handling corporate advisory work and a wide variety of transactions, such as mergers and acquisitions, initial offerings for both publicly and privately traded equity funds and purchase agreements for real property. She has represented individuals and companies – both foreign and domestic – on inbound and outbound transactions. She also advises individuals on a variety of tax matters ranging from compliance to structuring.

As an advisor, Tiffany takes pride in providing guidance in a holistic manner and through a commercial lens. She understands that each relationship and transaction involves give and take and her objective is to shepherd her clients through risks worth taking to achieve their goals. Tiffany has advised all types of businesses and industries, including in the retail, hospitality, creative, digital and consulting industries. For most of her clients, Tiffany serves as external general counsel who guides her clients on a wide range of issues, including strategic alliances, internal company management and operations and transactions.

Prior to Heah Bar-Nissim, Tiffany worked at boutique international transaction and tax law firm in Los Angeles. Prior to that, she worked as a corporate attorney in Malaysia for eight years – three of which were spent at a Baker & McKenzie affiliate. Tiffany went to law school at King’s College London and obtained her LL.B.. She worked for several years as a corporate attorney before moving to the United States and pursuing her LL.M. at the University of Southern California.

+  Drafted, reviewed and negotiated all forms of agreements, such as independent contractors agreements, talent agreements, license agreements, management agreements, commercial leases and employment agreements.
+  Represented various individuals interested in setting up businesses by advising them on how to structure the investment or business entity to minimize risk and tax exposure, including drafting partnership agreements, shareholders agreements, operating agreements to document the relationship between the business owners.

Rom is a passionate advocate and advisor. He serves entrepreneurs and those who create and disseminate creative expression. Rom’s practice focuses on media, entertainment, digital and business law – with particular focus on the First Amendment, Anti-SLAPP law, copyright, defamation, privacy, right of publicity, trademarks, contracts and business torts.

Rom’s creative background in theater and film informs his legal practice – including his approach to problem solving and how he collaborates with clients.

As a litigator, Rom approaches legal disputes as a storyteller. He advocates for his clients by creating compelling narratives of law and fact. Rom’s experience covers a wide variety of legal disputes, particularly those affecting the media, entertainment and digital industries. Rom has successfully litigated cases in state and federal courts throughout the country at the trial and appellate court levels. Rom also excels at prelitigation dispute resolution and, when litigation cannot be avoided, the strength and persuasiveness of his advocacy has resolved disputes at an early stage. 

As an advisor, Rom takes pride in providing creative solutions to legal problems. His unique insight into the intersection of law and expression provides him the vocabulary to simplify legal concepts into plain English for creatives and entrepreneurs.

Rom has successfully helped creatives and content producers to minimize legal risk, while preserving the integrity of their expression. He has guided digital platforms on how to structure their websites and applications to ensure they benefit from various legal protections. Rom has also advised entrepreneurs and businesses on how to navigate risk – whether it be for their entire business or a particular transaction.

Prior to establishing Heah Bar-Nissim, Rom worked at a boutique media law firm, a national law firm in its media and entertainment practice group and as a production attorney for a national television station. Rom went to law school at the University of Southern California, Gould School of Law where he received the Norma Zarky Memorial Award for Excellence in the Field of Entertainment Law. Rom received his Bachelors of Fine Arts in Theater from Florida Atlantic University.
